These Terms and Conditions govern your access to and use of Silvana’s website, applications, APIs, SDKs, documentation, agents, trading interfaces, rewards programs and other services that link to these Terms.
Please read them carefully. By accessing or using a Service, you agree to these Terms. If you do not agree, do not use the Services.
1. About these Terms
In these Terms:
- Silvana, we, us and our mean the Silvana entity that provides the relevant Service.
- Services means the Silvana website, application, Terminal, Swap, Markets, EarnHub, Silvana Book, Agentic API, SDKs, command line tools, agents, Playground, documentation and related services.
- User, you and your mean the individual or organization accessing or using a Service.
- Digital Asset means a token, network-based asset, right or other digital representation supported by a Service.
- Agent means software that observes, decides, prepares, submits or manages actions according to configured logic, permissions and controls.
Product-specific terms, campaign rules, order forms, developer licenses, network rules and other supplemental terms may apply. If supplemental terms conflict with these Terms, the supplemental terms control for the relevant Service.
2. Eligibility and authority
You may use the Services only if:
- You are at least 18 years old.
- You have legal capacity to enter into these Terms.
- Your use is lawful where you are located.
- You are not prohibited from using the Services under applicable sanctions, export-control or other law.
- If you act for an organization, you have authority to bind that organization.
You must stop using the Services if you no longer satisfy these conditions.
Silvana may apply additional eligibility requirements to a product, market, network, campaign, jurisdiction or feature.
3. Accounts, credentials and wallets
You are responsible for:
- Providing accurate information.
- Keeping account credentials, API keys, devices and authentication methods secure.
- Maintaining the security of wallets, private keys, seed phrases and signing environments.
- Configuring permissions and access controls appropriately.
- Activity performed through your account, wallet, credentials or authorized environment.
- Notifying Silvana promptly if you suspect unauthorized access.
Do not share private keys, seed phrases, passwords or signing secrets with Silvana through a public form, support channel or unsolicited message.
A wallet connection, signature or approval may authorize a transaction or other binding action. Review the recipient, asset, amount, network, permissions and transaction details before signing.
Silvana is not responsible for loss caused by compromised credentials, unsafe devices, malicious wallet software, phishing, user error or disclosure of secrets, except to the extent responsibility cannot legally be excluded.
4. The Services
Silvana provides infrastructure and interfaces for supported asset, execution, agent, developer and settlement workflows.
Features can differ by product, account, environment, network, jurisdiction and stage of release. A feature described on the website may be live, in preview, experimental, limited to invited users or planned for a later release.
Silvana may add, change, suspend or remove a feature. Silvana does not guarantee that a particular market, asset, network, agent, integration, campaign or provider will remain available.
Statements about product direction or planned features are not binding commitments.
5. No investment, legal or tax advice
Information provided through the Services is for product, technical and general informational purposes.
Silvana does not provide personal investment, financial, legal, accounting or tax advice through the Services. Nothing on the website, in the documentation, in a market display, in an agent output or in a communication is a recommendation to buy, sell, hold or use a Digital Asset.
Silvana does not act as your fiduciary merely because you use a Service.
You are responsible for obtaining independent advice and evaluating whether a transaction, strategy, asset, network or Service is appropriate for you.
6. Digital asset and technology risks
Digital assets, automated systems and distributed networks involve substantial risk. You acknowledge that:
6.1 Market risk
Prices can be volatile. A Digital Asset can lose some or all of its value. Historical performance does not predict future results.
6.2 Liquidity and execution risk
A market may have limited liquidity. An order, quote, swap or strategy may not execute, may execute only in part, may expire or may settle later than expected.
6.3 Network and settlement risk
A network can experience congestion, outage, reorganization, validator failure, governance change, protocol change or other disruption. A transaction may fail, be delayed or become irreversible after finalization.
6.4 Smart contract and software risk
Software, APIs, agents, wallets, smart contracts and integrations may contain defects, vulnerabilities or unexpected behavior.
6.5 Wallet and key risk
Loss or compromise of a private key, seed phrase, device or credential can lead to permanent loss or unauthorized activity.
6.6 Data and oracle risk
Prices, market data, news, balances, network state and third-party information may be delayed, incomplete or inaccurate.
6.7 Regulatory and tax risk
Law, regulation, classification, tax treatment and availability may change. A feature or asset that is available today may become restricted later.
6.8 Counterparty and provider risk
A wallet, issuer, liquidity provider, network participant, bridge, data provider or other third party may fail to perform, become unavailable or act improperly.
6.9 Agent risk
An Agent may act more quickly, frequently or broadly than a human operator. Incorrect logic, permissions, data, models or parameters can cause unintended orders, transactions, exposure or loss.
You accept these risks when you use the Services.
7. Your decisions and transactions
You are solely responsible for deciding whether to initiate, approve, sign, submit, cancel or continue a transaction or strategy.
Before authorizing an action, you must verify the transaction details, including the asset, amount, recipient, market, network, permissions, fees and expected outcome.
A displayed quote, matched order, optimistic state, estimated value, prepared transaction or agent recommendation is not necessarily final. Finality depends on the applicable product, counterparty, wallet, network and settlement process.
Silvana does not guarantee:
- Execution.
- Settlement.
- Availability of liquidity.
- A particular price.
- A particular completion time.
- The accuracy of an estimate.
- The profitability or performance of a strategy.
- Eligibility for or receipt of a reward.
8. Agents and automated execution
You are responsible for each Agent you configure, deploy, connect or authorize.
You must:
- Test the Agent before production use.
- Define appropriate permissions and limits.
- Use reliable data sources.
- Review strategy logic and dependencies.
- Protect credentials and signing material.
- Monitor behavior and system health.
- Maintain a method to pause or stop the Agent where appropriate.
- Review prepared transactions before signing when the product supports that control.
- Comply with market, legal and organizational requirements.
- Supervise third-party models or providers connected to the Agent.
Simulation, backtesting and Playground results are illustrative. They do not guarantee live behavior or performance.
Silvana may provide templates, examples, configurations or platform-native Agents. You remain responsible for determining whether they are suitable for your intended use.
9. Orders, matching and settlement
Silvana Book and related Services may separate order submission and matching from final network settlement.
A match or preconfirmation does not necessarily mean that settlement has completed. Settlement can require allocation, authorization, signatures, network capacity and satisfaction of other conditions.
A Delivery-versus-Payment workflow is intended to complete both relevant legs together when its conditions are satisfied. A workflow can fail, expire or roll back if conditions are not met.
You are responsible for maintaining sufficient eligible assets, network resources, permissions and signing availability for settlement.
Silvana may cancel, reject, pause or unwind a pending workflow where permitted by product rules and reasonably necessary for security, integrity, legal compliance or technical operation.
10. EarnHub, campaigns and rewards
EarnHub points, rankings, achievements, campaigns and rewards are promotional features governed by these Terms and any campaign-specific rules.
Unless campaign rules expressly state otherwise:
- Points are not money, deposits, securities or stored value.
- Points have no guaranteed cash value.
- Points are personal and non-transferable.
- A leaderboard position does not create a right to a reward.
- Eligibility may depend on jurisdiction, identity, account status, settled activity and compliance review.
- Suspected fraud, manipulation, wash trading, duplicate accounts or abuse can result in disqualification.
- A campaign, calculation method, prize pool, schedule or reward can be changed, paused or cancelled where reasonably necessary.
- Taxes and reporting obligations arising from a reward are your responsibility.
- A reward is not earned until eligibility is confirmed and distribution is complete.
Silvana may correct errors in points, rankings, calculations or distributions.
11. APIs, SDKs, command line tools and documentation
Developer Services are provided subject to these Terms and any separate license or documentation.
You must:
- Protect API keys and developer credentials.
- Follow authentication, signing and security guidance.
- Respect documented rate limits and technical constraints.
- Use supported methods and interfaces.
- Keep dependencies and integrations reasonably current.
- Avoid introducing malicious code or unsafe behavior.
- Monitor errors and responses.
- Comply with any applicable open-source or third-party license.
Documentation, examples and code snippets can contain errors or become outdated as Services change. Verify current behavior in the applicable environment before production use.
Silvana may change, deprecate or discontinue an endpoint, schema, library, example or version. Where reasonably practicable, Silvana will provide notice for material production changes.
12. Acceptable use
You may not use the Services to:
- Violate law or another person’s rights.
- Evade sanctions, export controls, eligibility restrictions or regulatory requirements.
- Commit fraud, theft, money laundering or deceptive activity.
- Manipulate a market, engage in wash trading or create false activity.
- Access an account, system, wallet or data without authorization.
- Interfere with service availability or integrity.
- Introduce malware, harmful code or destructive instructions.
- Circumvent authentication, permissions, rate limits or security controls.
- Probe or test security without written authorization.
- Scrape or automate access in a way that creates unreasonable load or violates documented interfaces.
- Reverse engineer a non-open-source component except where law expressly permits it.
- Misrepresent your identity, authority, affiliation or transaction.
- Infringe intellectual property, privacy or confidentiality rights.
- Use the Services to harm, threaten or exploit another person.
- Resell or provide unauthorized access to a Service.
- Train or operate a system using Silvana content or data in violation of applicable rights or product terms.
- Use an Agent without reasonable controls for its risk and authority.
Silvana may investigate suspected misuse and take proportionate action.
13. Compliance and restricted use
You are responsible for complying with laws that apply to your activity, including financial, market, sanctions, anti-money-laundering, tax, data protection, consumer, export-control and reporting requirements.
You represent that you are not a person or organization prohibited from using the Services and that you will not use the Services for the benefit of a prohibited person or in a prohibited jurisdiction.
Silvana may request information, restrict access, reject a transaction, freeze a campaign distribution or report activity where reasonably necessary to comply with law, protect the Services or investigate suspected misuse.
14. Third-party services and networks
The Services may depend on or link to third parties, including wallets, networks, issuers, bridges, price and news providers, hosting providers, GitHub, X, Telegram, documentation platforms and partner applications.
Third-party products are governed by their own terms and privacy notices. Silvana does not control and is not responsible for their availability, security, accuracy, conduct or performance.
A reference to a third party does not imply endorsement or guarantee.
15. Fees and taxes
A Service may involve Silvana fees, network fees, traffic costs, settlement charges, provider fees or other costs.
Applicable fees may be shown in the interface, documentation, campaign rules, order form or supplemental terms. Estimates can differ from final charges.
You are responsible for taxes, duties, reporting and other governmental charges arising from your use of the Services, transactions or rewards, except taxes based on Silvana’s own income.
16. Information you submit
You retain ownership of information and materials you submit.
You grant Silvana a non-exclusive, worldwide, royalty-free license to host, copy, transmit, process and display submitted material only as reasonably necessary to:
- Provide and secure the Services.
- Respond to your request.
- Comply with law.
- Enforce these Terms.
- Exercise another permission you give us.
You represent that you have the rights and authority required to submit the material.
Do not send confidential business information through a public form unless Silvana has expressly agreed to receive it in confidence.
17. Feedback
If you provide an idea, suggestion or other feedback, you grant Silvana a perpetual, irrevocable, worldwide, transferable, sublicensable and royalty-free right to use, modify and commercialize that feedback without restriction or compensation.
This clause does not transfer ownership of your pre-existing intellectual property or confidential information accepted under a separate written agreement.
18. Silvana intellectual property
The Services, website, designs, text, graphics, software, interfaces, trademarks and other Silvana materials are owned by Silvana or its licensors and are protected by law.
Subject to these Terms, Silvana grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Services for their intended purpose.
No other right or license is granted by implication.
You may not use Silvana’s name, logos or marks in a way that suggests sponsorship, partnership or endorsement without written permission.
19. Open-source software
Some Silvana software may be released under an open-source license.
The applicable open-source license governs that software. If an open-source license conflicts with these Terms regarding the relevant code, the open-source license controls.
Third-party open-source components remain subject to their respective licenses.
20. Privacy
Silvana processes personal data as described in the Privacy and Cookie Notice.
By using the Services, you acknowledge that transactions and distributed network interactions can create records that are replicated among authorized participants and may be difficult or impossible for Silvana to alter or delete.
21. Electronic communications
You agree that Silvana may provide agreements, notices, disclosures and other communications electronically.
Marketing communications can be unsubscribed from at any time. Operational, security, legal and transaction-related notices may still be sent where necessary.
22. Availability, maintenance and changes
The Services may be unavailable because of maintenance, updates, provider failures, network conditions, security incidents, legal restrictions or events outside Silvana’s control.
Silvana does not promise uninterrupted or error-free availability.
Silvana may update these Terms. Material changes will be posted with a revised effective date and additional notice where required. Continued use after the revised Terms take effect constitutes acceptance, except where law requires another form of consent.
23. Suspension and termination
Silvana may suspend, restrict or terminate access where reasonably necessary to:
- Protect users, assets, networks or systems.
- Investigate suspected misuse.
- Enforce these Terms.
- Comply with law or a lawful request.
- Address nonpayment.
- Respond to a security or technical risk.
- Discontinue a Service.
You may stop using the Services at any time. Account closure does not automatically reverse a completed transaction or remove a distributed network record.
Clauses that by their nature should survive termination remain in effect, including risk allocation, intellectual property, liability, indemnity and dispute provisions.
24. Disclaimers
To the fullest extent permitted by law, the Services are provided as is and as available.
Silvana disclaims all express, implied and statutory warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security and error-free operation.
Silvana does not warrant that:
- A Service will meet your requirements.
- A transaction or strategy will be profitable.
- Data, prices or outputs will be complete or current.
- An Agent will behave as expected in every condition.
- A network, wallet or third-party service will remain available.
- A defect or vulnerability will be corrected immediately.
- A reward or campaign benefit will be available.
Nothing in these Terms excludes a warranty or right that cannot legally be excluded.
25. Limitation of liability
To the fullest extent permitted by law, Silvana and its affiliates, personnel, licensors and service providers will not be liable for:
- Indirect, incidental, special, exemplary, punitive or consequential loss.
- Lost profit, revenue, opportunity, goodwill or anticipated savings.
- Trading loss or loss in Digital Asset value.
- Loss of data, keys, credentials or access.
- Unauthorized wallet or account activity.
- Failure, delay or reversal of a transaction.
- Agent behavior, strategy performance or model output.
- Smart contract, network, wallet, bridge, issuer or third-party failure.
- Business interruption or cost of replacement services.
Where liability cannot be excluded, Silvana’s aggregate liability arising from or relating to the Services will not exceed the greater of:
- The amount you paid directly to Silvana for the affected Service during the 12 months before the event giving rise to the claim.
- USD 100.
This limitation applies regardless of the legal theory and even if Silvana was advised that loss was possible.
Nothing in these Terms limits liability for fraud, willful misconduct, death or personal injury caused by negligence, or another liability that cannot legally be limited.
Mandatory consumer rights remain unaffected.
26. Indemnity for business users
If you use the Services for a business or organization, you will, to the extent permitted by law, defend, indemnify and hold harmless Silvana and its affiliates, personnel and service providers from third-party claims, losses, liabilities and reasonable costs arising from:
- Your unlawful or unauthorized use.
- Your violation of these Terms.
- Your Agent, integration, content or configuration.
- Your infringement of another person’s rights.
- Your violation of law.
- A transaction or service you provide to your own customer.
Silvana will provide reasonable notice of a covered claim and allow reasonable participation in the defense.
This section does not apply to a consumer to the extent prohibited by law.
27. Events outside reasonable control
Silvana is not responsible for delay or failure caused by events outside its reasonable control, including network failure, internet outage, cloud or provider disruption, cyberattack, protocol event, government action, labor dispute, natural disaster, war, civil unrest or failure of a third-party system.
28. Governing law and disputes
Any governing law and forum stated in an order form, campaign rule or product-specific agreement controls for that relationship.
Where no specific governing law has been agreed, applicable conflict-of-law rules determine the governing law and forum. Mandatory rights available to a consumer in their place of residence remain unaffected.
Before starting formal proceedings, you agree to contact hello@silvana.one and provide a reasonable description of the dispute. The parties will attempt in good faith to resolve it for at least 30 days, unless urgent relief is reasonably required.
29. General provisions
29.1 Entire agreement
These Terms and applicable supplemental terms form the entire agreement regarding the relevant Service and replace prior discussions on the same subject.
29.2 Severability
If a provision is unenforceable, it will be enforced to the greatest lawful extent and the remaining provisions will continue.
29.3 No waiver
A failure to enforce a provision is not a waiver.
29.4 Assignment
You may not assign these Terms without Silvana’s written consent. Silvana may assign them in connection with a restructuring, financing, merger, acquisition, asset transfer or change in the provider of a Service.
29.5 No third-party beneficiaries
These Terms do not create rights for anyone other than you and Silvana, except where expressly stated.
29.6 Headings
Headings are for convenience and do not affect interpretation.
29.7 Language
If these Terms are translated, the English version controls to the extent permitted by law unless a translated version expressly states otherwise.
